Rules and Regulations

The Firkin Group Of Pubs’ “F.U.2 Student Debt” Contest
Official Contest Rules (the “Rules”)

NO PURCHASE NECESSARY. The Contest is intended to be conducted in Ontario only, and shall be construed according to applicable Ontario and Canadian law. Entry in the Contest constitutes acceptance of these Contest Rules.

1. Who Can Enter. The F.U.2 Student Debt” Contest (the “ Contest ”) is open to any person who is a Canadian citizen or permanent resident of Canada, residing in Ontario on the Contest Closing Date, who have reached the age of nineteen (19) at time of entry, and who meet all of the Eligibility Criteria. Void in whole or in part where prohibited by law. Individuals associated with the Contest, including employees of The Firkin Group of Pubs (the “ Sponsor ”), their affiliates, promotional and marketing companies and their suppliers, and each of their respective directors, officers, employees, agents, representatives, and any member of the immediate families of any of the foregoing and other individuals with whom any of the foregoing are domiciled, are not eligible to participate in the Contest.

2. Eligibility Criteria. To be eligible to enter the Contest and be declared a winner of a Prize in the Contest, an entrant must meet all of the following criteria, and show sufficient proof of each criterion at the Sponsor or its representatives sole and absolute discretion:

(a) be 19 years of age or older as of June 15, 2009 ;

(b) be a Canadian citizen or permanent resident of Canada on June 15, 2009 ;

(c) be a legal resident of Ontario on October 26, 2009 ;

(d) be either:

(i) a full-time or part-time undergraduate or graduate student who has successfully completed at least one (1) year of a recognized Ontario post-secondary college or university program at an accredited Ontario college or university (“ Accredited School ”) as of June 15, 2009; or

(ii) a graduate of an Accredited School and have received a diploma or degree from an Accredited School ;

(e) provide a transcript from his/her Accredited School evidencing completion of at least one year of study, or of his/her degree/diploma program in the case of a graduate; and

(f) provide Proof of his/her student debt in an amount in excess of Five Thousand Canadian Dollars (C$5,000), as of October 26, 2009 (the “ Student Debt ”). “ Proof ” means written confirmation from OSAP that the entrant has Canadian Government student loans program student loan, or from a Canadian chartered bank or financial institution that the entrant has a student line of credit, owing to an Accredited School .

3. Contest Period. The Contest begins at 9:00 a.m. EST on June 15, 2009 and ends at 11:59 a.m. EST on September 30, 2009 (“ Contest Closing Time ”) (the “ Contest Period ”). The Site (as defined below) will remain active to receive entries until the end of the Contest Period.

4. How to Enter.

4.1 To enter the Contest,

(a) direct your internet browser to the Contest website www.firkinuniversity.com (the “ Site ”) and click on the [Apply Now] button; and

(b) complete all required fields in the online registration form on the Site, including personal contact information and information about your Accredited School and student debt; and

(c) submit an original video of no more than 60 seconds in duration explaining why the entrant believes that they are “Firkin Worthy” of receiving a Prize. The video must comply with the Terms of Use, Community Guidelines and all other policies and guidelines of the YouTube platform, available at http://ca.youtube.com .

An individual may only enter the Contest once.

4.2 Entrants will be allowed to create a personal profile during the application phase that they may edit as many times as they wish. Once the application phase is complete, no additional changes will be able to be submitted and the latest information provided will be used for the voting and judging phases of the Contest.

4.3 Fully and correctly completed registrations received by the Sponsor within the Contest Period will generate a valid “ Contest Entry ”. Any registration which is incomplete, illegible, damaged or irregular, or that contains false or offensive material or information, will not generate a valid Contest Entry.

4.4 There is a limit of one (1) Contest Entry per entrant. All Contest Entries become the property of the Sponsor. No entries will be returned.

4.6 An entrant’s Contest Entry must be original to the entrant, not violate the intellectual property of any other person or entity, and not be offensive, harmful, defamatory, libellous or objectionable. Any plagiarism or fraud will result in the disqualification of the entry and the Sponsor reserves the right to ban and/or disqualify the entrant from entering future contests sponsored by the Sponsor. An entrant may only enter the Contest once; repeat submissions will be disqualified. To be eligible, entries must be submitted electronically and received by the Sponsor by the Contest Closing Time.

4.7 Entries will not be eligible if not entered in accordance with these Rules or if not entered during the Contest Period.

4.8 By entering the Contest, entrants represent and warrant that they have obtained the consent of any entity or person depicted, shown or otherwise identified in their Contest Entry materials. Vulgar, unsuitable or inappropriate submissions will be disqualified by the Sponsor or its representatives at its sole and absolute discretion. Any Contest Entries that might be considered offensive or not in keeping with the Sponsor’s image or which its representatives has any reason to believe, in its sole and absolute discretion, does not meet any of the requirements, terms or conditions set forth in these Rules will also be disqualified.

4.9 An entrant acknowledges and agrees that by submitting a Contest Entry, some Contest Entry materials will become available to the general public on the Site and none of the Sponsor or its representatives will be liable for any copying, re-posting or other use of these materials. Submitted materials included in the Contest Entry must be original work and must not have been previously published. Contest Entries are subject to verification and will be declared invalid if they are illegible, mutilated, forged, falsified, modified or tampered with.

5. PRIZES. There will be five (5) Prizes awarded, each consisting of Five Thousand Canadian Dollars (C$5,000) which shall be paid on behalf of a declared winner to the Government of Canada student loans program or Canadian chartered bank or financial institution where the declared winner has his/her Student Debt.

A Prize must be accepted as awarded without substitution and cannot be transferred to another person. The odds of winning a Prize depends upon the total number of eligible entries received during the Contest Period and by the public’s and the Contest judges' decision as described in these Rules.

6. Procedure For Selecting Prize Winners

6.1 Voting by the General Public

After the Contest Closing Time, a certain portion of the Contest Entry information and materials will be made publicly available online at the Site for voting purposes. Any eligible Canadian resident individual may vote for their favourite submission between at noon EST on October 5, 2009 to at 11:59 p.m. EST on October 26, 2009 (the “ Voting Period ”).

A Canadian resident individual will be allowed to vote for their favourite submission during the Voting Period, with a limit of one (1) vote per person per twenty-four hour period. If it is discovered that anyone attempted to vote more than once per day, all of that individual’s votes will be void and the entrant for whom they voted will be disqualified, their entry removed from the Contest, and their participation may be banned from this and any future contests by Sponsor. Any attempt by any individual to obtain more than the permitted number of votes per 24-hour period by using multiple/different email addresses, identities, or any other methods will void that entrant's votes and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. The Sponsor or its representatives reserve the right in its sole discretion to disqualify any vote(s) it deems invalid for any reason .

In order to register a valid vote, each eligible individual will be required to enter a valid email address and participate in an email validation process. Only valid votes will be included in determining the top twenty-five (25) Contest Entries.

Voters Contest . Each individual who registers a vote during the Voting Period will be automatically entered into a draw for one of Ten (10) Firkin Group of Pubs Gift Certificates valued at $50.00 each (the “ Voter Contest ”). The ten winners will be drawn at random from the eligible votes received, on or about November 3, 2009 and be contacted by the Sponsor or its representative to administer a skill-testing question and ensure compliance with Voter Contest Rules (see below). No purchase necessary. Odds of winning a Gift Certificate depend upon the number of votes cast during the Voting Period.

Voter Contest Rules. [ All terms used in this Voter Contest Rules apply only to this section ]

1. Voter Contest is open to residents of Canada who are over the age of majority in their province of residence, except: (i) residents of Quebec; (ii) employees (and persons with whom they are domiciled) of Sponsor, its affiliates, their marketing, promotional and supplier companies, and their respective officers, directors, employees and representatives; and (iii) anyone domiciled with any of the foregoing.

2. The selected entrants will be notified by telephone or mail. Each entry is deemed to be made by the holder of the email account from which such entry is received. To be declared the winner, the selected entrant must correctly answer, without assistance of any kind, a time-limited, arithmetical, skill-testing question to be administered by telephone or mail. If the selected entrant cannot be contacted and the skill-testing question administered (and, if sent by mail, received back), within 7 days of the draw date, the Gift Certificate will be forfeited and may be awarded to an alternate entrant. A Gift Certificate will only be delivered to a verified winner.

3. Gift Certificates must be accepted as awarded. No substitutions, alterations or redemptions will be made. Gift Certificates may not be sold, bartered, transferred or assigned. Any unused portion of a Gift Certificate will be forfeited and have no cash value.

4. Releases, etc. : Before being declared a winner, the selected entrant will be required to sign and return, within the time stipulated on the documents, a Declaration of Compliance with the Official Rules and a Release of Liability, in a form acceptable to the Sponsor, releasing Sponsor, its advertising and promotional agencies, suppliers, the affiliates and related companies of the foregoing, and all of their respective directors, officers, owner, partners, employees, agents, representatives, successors and assigns, from any liability in connection with the Voter Contest or the Gift Certificate. By accepting the Gift Certificate, the winner consents to the use of his/her name, address, voice, statements and photograph or other likeness for publicity purposes, without further compensation.

5. Limitation Of Liability : Sponsor is not responsible for incomplete, misdirected, lost or late votes, which will be void, nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tapers with the entry process, and to cancel, terminate, modify or suspend the Promotion.

6. General : Entrants who have not complied with these Voter Contest Rules are subject to disqualification. Gift Certificate is not transferable and must be accepted as awarded with no substitutions in cash or otherwise, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equivalent value if the prize cannot be awarded as described for any reason. Sponsor may amend, suspend or terminate the Voter Contest, in whole or in part, at any time without prior notice, if any factor interferes with its conduct as contemplated by these Official Rules. This Voter Contest is subject to all applicable federal, provincial and municipal laws and regulations. By registering a vote in the Contest and thereby entering the Voter Contest, entrants agree to be bound by these Official Rules and by the decisions of the Contest judges, which shall be final on all matters relating to this Voter Contest. All votes become the property of the Sponsor and none will be returned. Sponsor will use the personal information of the entrants only for the purposes of administering this Voter Contest and awarding the Gift Certificates. 6.2 Determining Prize Winners

A Contest entrant who is selected as a finalist from among all Contest Entries, will be known as a “ Finalist ”. A person who is selected as a prospective prize-winner will be known as a “ Prospective Winner ”. A Prospective Winner will be declared as an official prize-winner (a “ Prize Winner ”) after fully complying with these Rules. No other notification will be made to any Contest entrants regarding who the winner of the Contest is, other than to the Prize Winners.

Prize Winner information will be posted on the Site once all the Prize Winners are selected.

After the Voting Period, the top Twenty-Five (25) Contest Entries (plus any ties if applicable) receiving the most valid online votes at the end of the Voting Period, will become the Finalists. These Finalists’ Contest Entries will be submitted to a panel of independent judges (the “ Judging Panel ”) selected by the Sponsor or its representatives, who will select five (5) Prospective Winners based on the following criteria:

All decisions of the Judging Panel are final. The five (5) Finalists receiving the highest percentages from the Judging Panel will be declared Prospective Winners. In the event of a tie, the Judging Panel will re-judge the tied entries and select one (1) Prize Winner from each tie. The judging period (the “ Judging Period ”) will take place from October 28, 2009 until November 25, 2009 .

Attempts will be made by the Sponsor or its representatives to contact a Prospective Winner by telephone or e-mail within five (5) days of the end of the Judging Period. A Prospective Winner must correctly answer, unaided, a mathematical skill-testing question without the assistance of any kind, whether mechanical or otherwise. A Prospective Winner must sign a Declaration of Compliance with the Official Rules and a Release of Liability, in a form acceptable to the Sponsor, that confirms compliance with the Rules and releases the Sponsor, advertising and promotional agencies and suppliers, and their respective affiliates, subsidiaries, directors, officers, shareholders, employees, agents, representatives, from any and all liability with respect to this Contest, including, without limitation, the selection of the Prize Winner, the administration of the Contest, and acceptance or use of any or all of the Prize as awarded. The Prospective Winner must provide documented proof of all Eligibility Criteria (including without limitation, proof that the Contest entrant is a Canadian Citizen and a permanent resident of Canada as of June 1, 2009 in the form of Canadian citizenship or permanent resident status, birth certificate, Canadian passport, school transcripts, official residency documents, proof that the Contest entrant is an Ontario resident on the Contest Closing Date, and documentation from the Canadian government and/or financial institutions, or other) in order to be declared a Prize Winner. If the Prospective Winner cannot be contacted within such five (5) day period for any reason; or fails to answer the skill-testing question correctly; or fails to complete the Declaration and Release; or fails to provide documented proof of all Eligibility Criteria in the Contest, in the Sponsor’s sole and unfettered discretion; or when contacted, does not confirm arrangements for the Prize with the Sponsor or its representatives; or does not meet all of the Contest terms by no later than five (5) days after being contacted, the Prize shall be automatically forfeited by that Prospective Winner.

In above cases of forfeiture, the Sponsor will contact a Prospective Winner(s) who had the next highest score(s) after the initial Prospective Winner(s) selection, as a substitute for the forfeited Prize Winner(s). The new Prospective Winner(s) will be subject to the same conditions as set out in these Rules and specifically the requirements in this Section 6.2. This process will be repeated up to 4 times for each Prize. In the event that any Prize cannot be allocated to an eligible Prize Winner, the Sponsor has the right to cancel that Prize.

7. Prize Conditions Prizes must be accepted as awarded. No substitutions, alterations or redemptions will be made. Prizes may not be sold, bartered, transferred or assigned. Any unused portion of a Prize will be forfeited and have no cash value. Sponsor does not assume any liability for lost, damaged or misdirected Prizes.

8. Publicity

By participating in this Contest, Contest entrants consent, without monetary compensation, to the use of the information contained in the Contest Entries and use of their names and/or photographs and/or video, throughout the world in perpetuity, in any publicity carried out by or for the Sponsor and its representatives, and/or their respective affiliates in any and all media, including, without limitation, on the Sponsor and/or its representatives’ websites or other marketing collateral. For greater certainty, all Contest entries may be used for promotional purposes even if they were not chosen as a Prize Winner.

9. Right To Cancel Contest and Disqualify Entrant(s)

The Sponsor reserves the right, in its sole discretion, to withdraw, terminate, suspend or modify all or any part of this Contest, if for any reason the Contest us not capable of running as planned, including without limitation technical failure or corruption, computer virus, tampering, unauthorized intervention, fraud or any cause beyond the control of Sponsor which in the opinion of the Sponsor affects the administration, security, fairness, integrity or proper conduct of the Contest. If the Contest is withdrawn, terminated, suspended or modified, notice of this will be posted on the Site.

Further, the Sponsor reserves the right, in its sole discretion, to terminate, disqualify or suspend the participation of any entrant, in the Sponsor’s sole discretion, where an entrant appears to be tampering or interfering with, damaging or otherwise deliberately undermining the administration, security or legitimate operation and integrity or proper conduct of the Contest.

Should any entrant make any false statement in connection with his/her entry or participation in the Contest, such entrant shall be automatically disqualified from the Contest.

The use of automated software or computer programs to register in the Contest, to create valid votes in the Voter Contest, or to vote for a Contest Entry, is prohibited and any individual who uses or attempts to use such methods will be disqualified from further participation in the Contest, the Voter Contest and, at Sponsor’s discretion, in any future Sponsor contests. All votes so generated will be disqualified.

10. General Rules.

(a) By entering this Contest, Contest entrants agree to transfer to Sponsor and its representatives all ownership rights (including copyright) of Contest entries, waive any moral rights in the same, agree that entries will not be returned and agree to execute any additional paperwork requested by Sponsor to effect this provision. Sponsor hereby permits entrants and voters to link and post Contest Entries to social networking sites such as Facebook and My Space.

(b) Any entry that is incomplete, illegible, damaged or irregular, or that contains false information is invalid.

(c) By entering the Contest, each entrant agrees to abide by these Rules, which are subject to change without notice to Contest entrants individually and which changes shall be posted at this page of the Site.

(d) Any attempt to tamper with the entry process, to interfere with the Contest or these Rules, to deliberately damage any website or to undermine the administration, security or legitimate operation of the Contest, may be a violation of criminal and civil laws and the Sponsor reserves the right to seek damages or other relief or both from all persons responsible for such acts to the fullest extent permitted by law, which may include banning or disqualifying entrants from this and future Sponsor contests.

(e) By entering the Contest, each entrant automatically releases each of the Releasees (as defined below) and any other person or entity associated in any way with the Contest from any and all liability arising in any manner out of the Contest, including without limitation, the selection of any Prize winners, the administration of the Contest, and the acceptance or the use of any or all of the Prizes as awarded.

(f) All decisions by Sponsor with respect to all aspects of the Contest shall be final and binding. All entrants agree to abide by all of the instructions and decisions of Sponsor. In the event of any dispute regarding the interpretation of these Rules or any decision rendered by Sponsor, the decision or interpretation of Sponsor shall prevail.

(g) Refusal to accept either a Prize by any entrant selected as a Prize Winner releases the Sponsor and its representatives of any obligation of any kind to such entrant.

(h) The Releasees are not responsible for any misdirected entries or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof, or theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. Further, the Releasees are not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages. The use of automated software or computer programs to register or to enter the Contest is prohibited and any individual who uses or attempts to use such methods to register or to enter will be disqualified. The Releasees disclaim any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Contest.

(i) Neither Sponsor nor the Releasees assume responsibility of any nature whatsoever in all cases where the inability to hold the Contest results from any event beyond the reasonable control of Sponsor, including without limitation, any Act of God, any strike, lock-out or other labour conflict, war, act of terror, or should a virus, worm, bug or other cause beyond the reasonable control of Sponsor corrupt the security, data integrity, or proper administration of the Contest.

(j) Privacy . By entering this Contest, an entrant consents to Sponsor using the personal information submitted with such entry both for the purpose of administering the Contest and for the purposes as described in the Sponsor Privacy Policy. In addition, by entering this Contest, an entrant consents to Sponsor contacting them during the Contest Period to promote the Contest and Sponsor offers. If available, by specifically checking an additional Sponsor information check-box on the Entry Form, an entrant consents to the Sponsor using the personal information submitted with such entry including, but not limited to, contacting the entrant in the future to provide electronic newsletters and mailings, and other promotions and product and/or service offerings of the Sponsor.

(k) No Liability of Releasees . None of Sponsor, the marketing and promotional agencies, suppliers, their respective affiliated and related companies, their respective associates, directors, officers, employees, agents, successors and assigns (collectively, the “ Releasees ”) are responsible for any negligence, claims, liability, injury, property loss or other damage to entrant(s) or winner(s) arising from or in connection with the acceptance, redemption or use/misuse of a Prize or participation in this Contest. The Prize winner(s) assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of a Prize.

(l) The Releasees shall not be responsible for entries not received or not considered eligible due to incomplete, inaccurate, unclear or indecipherable information, failed or interrupted network connections or other mechanical or technical problems, however caused, (including a busy phone signal). The Releasees shall have no liability for lost, stolen, delayed, damaged or misdirected Contest entries, or for any failure, interruption, delay, error or omission of the Site or the Sponsor websites (the "Websites") or features on the Websites during the Contest, for any problems related to the Websites or the Site, including mechanical or technical malfunction of, or damage to, any telephone network or lines, computer online systems, servers, access providers, computer equipment, software, for failure of any email or Contest entry to be received by Sponsor for any reason, for damage to an entrant's or any other person's computer, or for breaches of privacy for any reason beyond the control of the Releasees, including interference by third party computer "hackers".

(m) This Contest is subject to all applicable federal, provincial and municipal laws and is void outside Ontario or where prohibited by law. Any dispute arising hereunder shall be adjudicated in the applicable court in Toronto , Ontario .

(n) If any provision of these Rules or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of these Rules, or the application of such provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby and each provision of these Rules shall be valid and enforced to the fullest extent permitted by law and be independent of every other provision of these Contest Rules.
